Nepal Clearing House Ltd. (NCHL) has approved a 15% bonus share distribution and a 0.789474% cash dividend for tax purposes at its 15th Annual General Meeting (AGM), held on October 14, 2026.
The AGM approved the company’s audited financial statements for fiscal year 2025/26 (FY 2082/83), along with the proposed distribution. Following the issuance of bonus shares, NCHL’s paid-up capital will increase to Rs 1.677 billion.
The company said the additional capital will primarily support investments in national payment systems, cross-border payment capabilities, digital public infrastructure (DPI), risk management and the expansion of existing infrastructure.
NCHL Processes Rs 21 Trillion in Transactions
NCHL processed 238.12 million transactions worth more than Rs 21.02 trillion through its clearing and settlement systems during FY 2025/26, according to the company.
Both transaction volume and settlement value increased by more than 13% compared with the previous fiscal year, reflecting continued growth in the use of digital payment and settlement infrastructure.
The company’s operating revenue increased by 7% during the year. However, net profit declined by 2% to Rs 410 million, indicating that stronger transaction activity did not translate into higher annual profits.
NCHL reported a net worth of Rs 229 per share.
Plans Technology and Software Development Subsidiary
The AGM also approved a proposal to establish a subsidiary or associate company focused on technology and software development. It authorized the company’s Board of Directors to take the necessary steps to implement the decision.
The proposed entity will focus on research and development in banking, financial services and payment technology, to support technological advancement across Nepal’s financial sector.
The move could strengthen NCHL’s capacity to develop and expand payment-related technologies and infrastructure as digital financial services continue to evolve.
Banks and Financial Institutions Hold 90.55% Stake
NCHL’s shareholding structure comprises a 9.45% stake held by Nepal Rastra Bank (NRB) and a 90.55% stake held collectively by banks and financial institutions.
Its Board of Directors includes one representative from NRB, three representatives from commercial banks, one representative each from development banks and finance companies, and one independent director.
The company operates a range of payment, clearing and settlement systems, including NCHL-ECC, NCHL-IPS, EFT Card Switch, NPS-NCS, NPS-RPS, NPI, NPIx, connectIPS, connectRTGS, CORPORATEPAY, NEPALPAY QR and NEPALPAY Card.
According to the company, its network includes more than 53 direct members, including NRB and banks and financial institutions, as well as more than 150 indirect or technical members from non-bank institutions.
As Nepal’s digital payments ecosystem expands, NCHL’s growing transaction volumes and planned investments in infrastructure and technology are expected to remain central to the development of the country’s payment systems.
